uHUMN (“uHUMN,” “we,” “us,” “our”) designs and sells TEDDI AI toys (“TEDDI Toys,” “Products”) and related digital services (including any apps, websites, or online experiences) powered by the Kingdom of Natural Intelligence platform (collectively, the “Services”).TEDDI AI toys are interactive, AI‑enabled toys for children, built using uHUMN’s SAFER AI methodology and a philosophy that parents and caregivers are active partners in supervising, guiding, and improving AI for kids over time.By accessing or using our Services, purchasing our Products, or allowing a child to use a TEDDI AI toy, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Services.2. Eligibility and Role of Parents
You must be an adult capable of entering into a binding contract to purchase and set up TEDDI AI toys.TEDDI AI toys and the Services are intended for use under the supervision of a parent or legal guardian.By creating an account, registering a product, or enabling AI features, you represent that you are the parent or legal guardian of the child user, or have their consent.You are responsible for:Selecting settings and controls appropriate for your child.Supervising your child’s use of the Products and Services.Reviewing and managing your child’s data and permissions.
3. SAFER AI and “Kingdom of Natural Intelligence”
uHUMN uses its internal SAFER AI methodology and the Kingdom of Natural Intelligence platform to guide the design and behavior of TEDDI AI toys, with an emphasis on:Age‑appropriate interactions for children.Parent visibility, supervision, and control.Continuous improvement informed by parent and family feedback.
While our systems are designed to promote safer interactions, no AI system is perfect, and unexpected or inappropriate outputs may still occur. You agree to supervise your child’s use and to discontinue use and contact us if you encounter concerning behavior.4. No Medical, Educational, or Psychological Advice
TEDDI AI toys and the Services are provided for entertainment, play, and general‑interest educational purposes only. They do not provide:Medical, mental health, psychological, or therapeutic advice.Professional educational, legal, or financial advice.
You agree not to rely on TEDDI AI toys or the Services for decisions about a child’s health, safety, development, education, or wellbeing, and to consult qualified professionals instead.5. Accounts, Registration, and Security
Some features require creating an account, registering a Product, or linking to an app. You agree to provide accurate, up‑to‑date information and keep it current.You are responsible for maintaining the confidentiality of your login credentials and any device codes and for all activities that occur under your account.Notify us promptly if you suspect unauthorized access or any security breach involving your account or TEDDI AI toy.
uHUMN may suspend or terminate access to protect children, users, or systems, or when these Terms are violated.6. Data We Collect: Voice and Text
To operate TEDDI AI toys and improve the Services, we may collect and process:Voice data: Audio of spoken interactions with the toy (e.g., what your child says to TEDDI).Text data: Text transcripts of voice interactions and any text inputs through companion apps or Services.Usage data: Interaction patterns, features used, and device performance metrics.
Specific details about categories of data, retention periods, and your choices are set out in our Privacy Policy, which forms part of these Terms.We do not knowingly collect personal information from children under 13 without verifiable parental consent, and we follow applicable U.S. children’s privacy laws, including the Children’s Online Privacy Protection Act (COPPA), to the extent they apply.7. Ownership of Data and Tokenization
User ownership: Voice and text content generated by you or your child during use of TEDDI AI toys remains owned by you, subject to the limited license you grant us below to operate and improve the Services.Tokenization and processing:We may convert voice and text data into tokenized or encoded representations for purposes such as processing by AI models, safety filtering, and product improvement.Tokenization is a technical process and does not transfer ownership of your underlying content.License to uHUMN: You grant uHUMN a non‑exclusive, worldwide, royalty‑free license to use, process, store, reproduce, and analyze your and your child’s content (including tokenized forms) solely to:Provide, maintain, and improve the Products and Services.Develop safety systems and child‑appropriate features.Conduct research and analytics in aggregated or de‑identified form.
We will not sell your voice or text content. Any sharing with service providers will be subject to contractual obligations consistent with these Terms and our Privacy Policy.8. Parent Controls and Rights
As a parent or legal guardian, subject to applicable law, you may have rights to:Review certain voice and text interactions associated with your child’s use of TEDDI AI toys.Request correction or deletion of specific data, subject to technical and legal limitations.Adjust settings, controls, and permissions, including limiting voice capture or disabling certain features.
Instructions for exercising these choices are provided in the Services and in our Privacy Policy.9. Acceptable Use
You agree that neither you nor any child under your supervision will:Use the Products or Services in any unlawful or harmful manner.Intentionally prompt the AI to generate explicit, violent, hateful, or otherwise inappropriate content.Use the toy or Services to harass, bully, or impersonate others.Attempt to bypass or disable safety features, content filters, or parental controls.Reverse engineer, decompile, modify, or interfere with the hardware, firmware, or software, except where such activity is expressly permitted by law.
We may take appropriate steps, including limiting features or terminating access, where we detect abuse or safety risks.10. Intellectual Property
uHUMN and/or its licensors own all rights, title, and interest in and to TEDDI AI toys, the Kingdom of Natural Intelligence platform, the SAFER AI methodology, and all related software, content, designs, trademarks, and logos.Subject to these Terms, uHUMN grants you a limited, non‑exclusive, non‑transferable, revocable license to use the embedded software and Services solely with your TEDDI AI toy for personal, non‑commercial use.You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Products or Services except as permitted by law or with our express written permission.
11. Third‑Party Services and AI Providers
The Services may integrate with or rely on third‑party AI models, cloud hosting, or connectivity providers.These third‑party services may be subject to their own terms and privacy policies.uHUMN is not responsible for third‑party content or services that are outside our reasonable control, though we seek to partner with providers that align with our safety and privacy standards.
12. Safety, Connectivity, and Operation
Certain features require internet access, an app, or an account. Some capabilities may be limited or unavailable without connectivity.You are responsible for providing secure Wi‑Fi or network access and keeping devices and apps reasonably up to date.Follow all safety instructions, age recommendations, and usage guidelines in manuals and digital documentation.Do not allow unsupervised use by young children, particularly when connected to the internet or when voice capture is enabled.
13. Disclaimers
To the fullest extent permitted by Nevada law and other applicable law:The Products and Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.uHUMN does not warrant that the Services will be uninterrupted, error‑free, secure, or that all outputs will be accurate, complete, or suitable for every child or situation.uHUMN disclaims all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.
Some rights and implied warranties may not be waivable under Nevada consumer‑protection laws, so parts of this section may not apply in full.14. Limitation of Liability
To the maximum extent permitted by Nevada law and other applicable law:uHUMN and its affiliates, officers, directors, employees, and licensors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of data, profits, or goodwill arising out of or related to your or your child’s use of the Products or Services.uHUMN’s total liability for any claim arising out of or relating to these Terms or the Products or Services will not exceed the amount you actually paid for the Product or Service giving rise to the claim in the twelve (12) months prior to the event.
Nothing in these Terms is intended to limit liability that cannot be limited under applicable law (for example, certain product‑liability obligations).15. Indemnification
You agree to indemnify, defend, and hold harmless uHUMN and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:Your or your child’s use of the Products or Services.Your violation of these Terms.Your violation of any applicable law or third‑party rights.
16. Governing Law and Dispute Resolution (Nevada)
These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict‑of‑law rules.Subject to any mandatory arbitration or consumer‑protection provisions you elect to adopt, any dispute arising out of or relating to these Terms or the Products or Services will be brought in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction and venue.
You may wish to add a separate arbitration agreement or small‑claims provision tailored to Nevada law; consult your legal counsel before doing so.17. Changes to the Services and Terms
We may modify, update, or discontinue parts of the Products or Services (including safety and AI behavior updates) from time to time.We may update these Terms; when changes are material, we will update the “Last updated” date and may provide additional notice through the Services.Your continued use of the Products or Services after changes become effective constitutes acceptance of the revised Terms.
